What is a Registered Agent?

A registered agent is an individual or corporation that is designated in the Certificate of Incorporation / Certificate of Formation, has a physical business address in the State of Delaware and is responsible for receiving and forwarding government and legal documents to a Delaware business entity. Some examples of documents received and forwarded by registered agents are franchise tax reports from the Secretary of State and lawsuits (service of process) against your company from private litigants.

Why You Need a Registered Agent

State law requires every type of company (LLC, Corporation, etc.) to name a Registered Agent. You need a registered agent when you first form your Delaware Corporation or LLC. And you will need this registered agent throughout the life of your corporation, especially during annual franchise tax time.

Registered Agent must be a business address that provides services between the Secretary of State and the customer. The Registered Agent has duties to maintain contact information and receive Service of Process. Failure to respond to a lawsuit (Service of Process) in a timely manner will result in a judgment by default and financial liability against the company. Therefore, it is important to choose your Registered Agent on the basis of reliability in addition to low cost.
